Terms & Conditions

1. General Acceptance

1.1 These Terms and Conditions (“T&C”) govern all wholesale, custom manufacturing, quotation, order, delivery and after-sales transactions between Lithogenix (“Seller”), a professional lithium battery manufacturer, and any individual, distributor, enterprise or organization submitting inquiries via our website form, email or offline communication (“Buyer”).
1.2 By filling out our website contact form (submitting your name, email, phone number, country and demand), requesting quotations, placing orders, paying deposits or full payments, Buyer unconditionally accepts all clauses herein. No additional Buyer terms shall apply unless confirmed in writing by Seller.
1.3 Seller reserves the right to revise these T&C without prior notice. Updated versions shall be posted on https://lithogenix.de and take effect immediately upon publication. It is Buyer’s obligation to review the latest terms before each transaction.

2. Products & Scope of Supply

2.1 Core wholesale products provided by Seller include:
  • Primary lithium batteries: Li-MnO₂ Battery, Li-SOCl₂ Battery
  • Battery Capacitors
  • Rechargeable lithium cells & packs: IFR32700 LiFePO4, INR18650, INR21700, lithium polymer packs, custom battery assemblies with intelligent BMS
2.2 Customization services cover tailored cell architecture, battery pack design for Smart IoT, UAVs, power tools, humanoid robots, energy storage and lead-acid replacement solutions.
2.3 All finished goods are manufactured in China with Grade A lithium cells, passing aging, capacity, internal resistance and short-circuit testing before shipment. Products hold CE, UN38.3, MSDS, UL and CB certifications compliant with EU, US, Southeast Asia and Middle East import customs requirements.

3. Quotation & Order Confirmation

3.1 All quotations sent via info@lithogenix.de are valid for 15 calendar days only. Prices are factory-direct wholesale rates excluding shipping, insurance, import duties, customs clearance fees and local taxes of Buyer’s destination country.
3.2 A formal sales contract or proforma invoice (PI) issued by Seller constitutes binding order confirmation. An order is deemed official only after Buyer pays the agreed deposit (typically 30% of total order value).
3.3 Buyer shall submit accurate technical specifications, voltage, capacity, size, quantity, application scenarios and target market certification requirements when requesting quotes. Any specification change after order confirmation will incur extra retooling, material and production costs, and may extend lead time.
3.4 Minimum order quantities (MOQ) apply to standard cells and custom packs; MOQ details will be listed separately on each quotation.

4. Payment Terms

4.1 Standard payment workflow: 30% deposit upon PI confirmation; 70% balance to be fully settled before cargo delivery. Special payment terms require written dual-party agreement.
4.2 All payments shall be transferred to the official bank account designated on Seller’s PI. Payment to personal accounts without written Seller authorization shall not be recognized as valid payment.
4.3 Buyer shall bear all international wire transfer bank charges. Late balance payment will delay production and shipment; Seller reserves the right to cancel orders and forfeit deposits if balance is overdue for over 30 days.
4.4 Prices are subject to adjustment if raw lithium material costs fluctuate more than ±10% within the quotation validity period, with written advance notification to Buyer.

5. Production, Lead Time & Delivery

5.1 Standard lead time for standard cells: 7–15 working days after deposit receipt. Custom battery pack lead time ranges from 15–30 working days, subject to customization complexity and order volume.
5.2 Delivery term defaults to EXW (Factory China). If Buyer requests FOB, CFR or CIF arrangements, all ocean/air freight, dangerous goods packaging, handling and insurance fees shall be borne solely by Buyer.
5.3 Lithium batteries are classified as Class 9 dangerous goods under UN38.3 regulations. Seller will provide complete UN38.3 test reports, MSDS, CE certification and dangerous goods packaging documents for customs clearance. Buyer is responsible for verifying local import laws, battery regulations (including EU Battery Regulation) and import permits in advance.
5.4 Seller arranges shipment only after full balance clearance. Delivery date is estimated and not guaranteed against force majeure, port congestion, customs inspection delays or logistics carrier disruptions.
5.5 Buyer must inspect cargo within 7 working days upon receiving goods. Visible damage, quantity shortage or packaging defects must be reported to info@lithogenix.de with photos and video evidence within the inspection window; no claims will be accepted after this period.

6. Quality Control & Warranty

6.1 All products adopt Grade A cells and operate under ISO9001 production management. Each batch undergoes full safety and performance testing before leaving the factory.
6.2 Standard warranty period: 12 months from the date of shipment for standard lithium cells; 10 months for custom assembled battery packs. The warranty covers manufacturing defects only, excluding damage caused by improper use, overcharging, physical impact, unauthorized disassembly, water ingress, over-discharge or failure to match supporting BMS/equipment.
6.3 Warranty service process: Buyer shall provide defective product serial numbers, test data and fault records. Seller will decide to repair, replace defective units or offer partial credit after verification. Return shipping costs for warranty claims are borne by Buyer unless the defect is proven to be a pure manufacturing fault.
6.4 Seller does not warrant that products meet all local national safety standards of Buyer’s target market. Buyer bears full responsibility for confirming compliance with local battery, electrical and environmental regulations before bulk purchase.

7. Intellectual Property & Website Data

7.1 All design drawings, BMS solutions, product images, technical data, brand logos and website content on lithogenix.de are exclusive intellectual property of Lithogenix. No reproduction, modification or commercial reuse is permitted without written permission.
7.2 Information submitted via our website contact form (name, phone, email, country, project demands) is collected solely for order communication, quotation and after-sales service. Seller will not sell, rent or share Buyer’s personal data to third parties without explicit consent, complying with EU GDPR data protection rules.
7.3 Buyer shall not use Seller’s certification documents, product photos or technical files for unauthorized third-party sales or counterfeit production. Violation will result in immediate order termination and compensation claims.

8. Cancellation, Return & Refund Policy

8.1 Before production launch: Buyer may cancel orders with written notice, but the 30% deposit will be retained by Seller to cover raw material reservation and production preparation costs.
8.2 After production completion or shipment: No order cancellation or full refund is allowed, except for confirmed mass manufacturing defects verified by Seller’s quality team.
8.3 Custom battery packs tailored to Buyer’s unique equipment specifications are non-refundable and non-returnable under any circumstances, as customized products cannot be resold to other clients.
8.4 Returned goods must be shipped in original certified dangerous goods packaging; Buyer is liable for any safety penalties or logistics losses arising from improper return packaging.

9. Force Majeure

9.1 Neither party shall be liable for failure to perform contractual obligations caused by uncontrollable events beyond reasonable anticipation, including but not limited to natural disasters, war, trade sanctions, factory shutdowns, raw material supply shortages, international logistics suspension, customs policy changes and epidemic restrictions.
9.2 Upon force majeure occurrence, the affected party shall notify the other side within 3 working days. Performance time shall be reasonably extended; if disruption lasts over 60 days, either party may terminate the order without penalty, with partial refund of unused raw material costs negotiated separately.

10. Limitation of Liability

10.1 Seller’s total maximum liability for any order dispute, quality defect or delivery delay shall not exceed the total invoice value of the corresponding order. Seller shall not compensate for indirect losses including lost profits, project downtime, market opportunity loss or third-party equipment damage caused by battery application.
10.2 Seller is not responsible for safety accidents, customs confiscation or market sales bans resulting from Buyer’s incorrect product selection, improper equipment matching, failure to obtain local import permits or violation of regional battery regulatory laws.
10.3 Lithium batteries carry inherent chemical safety risks. Buyer must distribute user manuals with safety operation instructions to downstream end users and undertake liability for improper end-user operation.

11. Governing Law & Dispute Resolution

11.1 These Terms and Conditions and all sales contracts shall be governed by the laws of the People’s Republic of China.
11.2 All disputes arising out of or related to transactions under these T&C shall first be resolved via friendly email negotiation between both parties. If negotiation fails, disputes shall be submitted to arbitration at the arbitration commission located in the city of Seller’s manufacturing base, with arbitration awards final and binding for both sides. All arbitration costs shall be borne by the losing party.

12. Miscellaneous Clauses

12.1 Contact channel: All formal notices, claims and technical communications must be sent to official email info@lithogenix.de; verbal messages via social media or instant chat shall not be legally binding.
12.2 Severability: If any single clause herein is deemed invalid by arbitration or judicial authority, the remaining terms shall remain fully enforceable.
12.3 Waiver: Failure by Seller to enforce any clause of these T&C in one transaction does not waive the right to enforce such clause in all subsequent orders.
12.4 Entire Agreement: These T&C, together with formal PI, sales contracts and technical specification attachments, constitute the complete agreement between Buyer and Seller, superseding all prior oral or written communications.
